These Terms and Conditions govern your use of the TCIQ platform and services operated by Transition Care Intelligence LLC ("TCIQ", "we", "us", or "our"). By using our services or receiving messages from us on behalf of a participating skilled nursing facility, you agree to these terms.
SMS Messaging Program
Consent to Receive Messages
Post-discharge follow-up messages are sent only to patients who provided explicit written consent during the discharge process at their skilled nursing facility. Consent is documented by the facility at the time of discharge and is not a condition of receiving care. You may withdraw consent at any time by replying STOP to any message.
Platform Terms (Facility Operators)
Skilled nursing facilities and their staff who access the TCIQ platform agree to:
- Use the platform only for lawful post-discharge care coordination purposes
- Obtain appropriate patient and family consent prior to initiating outreach via TCIQ
- Maintain the confidentiality of login credentials and limit access to authorized staff
- Comply with all applicable federal and state laws, including HIPAA, TCPA, and CMS regulations
- Execute a Business Associate Agreement (BAA) with TCIQ prior to processing any protected health information
A fully executed Business Associate Agreement with TCIQ is a prerequisite to platform activation. Access to the TCIQ platform will not be provisioned until a BAA is in place. The BAA is incorporated by reference into these Terms.
Permitted Use
The TCIQ platform may only be used for post-discharge care coordination, clinical follow-up, CoreQ satisfaction survey administration, and related care management purposes. Use of TCIQ for marketing, solicitation, or any purpose unrelated to patient care is prohibited.
Intellectual Property
All content, software, and materials on the TCIQ platform are the property of Transition Care Intelligence LLC. You may not copy, reproduce, or distribute any portion of the platform without our express written permission.
Disclaimers
TCIQ is a care coordination technology platform. It is not a medical device, does not provide medical advice, and does not replace clinical judgment. Some messages sent through the platform are generated or assisted by artificial intelligence, within clinically defined parameters, on behalf of your skilled nursing facility. These messages are intended to facilitate communication between facilities and patients — not to diagnose, treat, or provide medical recommendations.
TCIQ's AI agent may flag clinical concerns for follow-up by facility staff. TCIQ is not responsible for outcomes resulting from facility staff's failure to act on, review, or respond to escalation alerts generated by the platform. Clinical response decisions remain solely the responsibility of the participating facility and its licensed personnel.
Limitation of Liability
To the fullest extent permitted by law, TCIQ shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform or services. Our total liability shall not exceed the greater of (a) the amounts paid by you for the services in the preceding 12 months, or (b) five thousand dollars ($5,000).
Governing Law
These Terms are governed by the laws of the State of Iowa, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Scott County, Iowa.
Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms at this URL with a revised effective date. Continued use of our services after a change constitutes acceptance of the updated Terms.
